Terms of Service

1. Acceptance of Terms

By accessing or using the Candar platform (“Service”), you agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service following any changes to these Terms constitutes acceptance of those changes.

2. Service Description

Candar provides a parking citation analytics platform delivered as a software-as-a-service (SaaS) offering. The Service includes:

  • Real-time and historical parking citation data aggregation and visualization
  • AI-powered analytics, pattern detection, and anomaly identification
  • Interactive dashboards, maps, and reporting tools
  • Scheduled email reports including weekly summaries, monthly digests, and threshold-based alerts
  • Data export capabilities in standard formats

Access to the Service is provided on an invite-only basis to qualified government agencies and university parking departments.

3. Account Terms

  • Invite-Only Access: Accounts are created by invitation only. Candar reserves the right to approve or deny access at its sole discretion.
  • One Person Per Login: Each login credential is intended for use by a single individual. Sharing login credentials between multiple people is not permitted.
  • Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify Candar immediately of any unauthorized access or security breach.
  • Accurate Information: You agree to provide accurate and complete information when creating your account and to keep this information up to date.

4. Acceptable Use

You agree not to engage in any of the following prohibited activities:

  • Reverse engineering, decompiling, or disassembling any part of the Service
  • Using automated tools (bots, scrapers, crawlers) to extract data from the Candar platform
  • Sharing, transferring, or disclosing login credentials to unauthorized parties
  • Attempting to gain unauthorized access to other accounts, systems, or networks connected to the Service
  • Using the Service for any purpose that violates applicable laws or regulations
  • Interfering with or disrupting the integrity or performance of the Service
  • Reselling, sublicensing, or redistributing the Service or any data obtained through the Service without prior written consent

5. Data Ownership

Client Data: You retain all rights, title, and interest in the parking citation data associated with your organization (“Client Data”). Candar does not claim ownership of Client Data.

License to Process: By using the Service, you grant Candar a limited, non-exclusive license to collect, store, process, and display Client Data solely for the purpose of providing the Service to you and as described in our Privacy Policy.

Aggregated Data: Candar may create anonymized, aggregated datasets derived from Client Data for the purposes of benchmarking, product improvement, and research. Such aggregated data will not identify your organization or any individual without your express consent.

6. Intellectual Property

Candar retains all rights, title, and interest in and to the Service, including but not limited to:

  • The platform software, architecture, and source code
  • Analytics models, algorithms, and AI-powered features
  • User interface designs, layouts, and the presentation layer
  • Documentation, training materials, and branding assets
  • All improvements, modifications, and derivative works of the above

Nothing in these Terms transfers any intellectual property rights to you except for the limited right to use the Service as described herein.

7. Service Level Agreement

Candar targets 99.9% uptime for the Service, measured on a monthly basis. This uptime commitment excludes:

  • Scheduled maintenance windows (communicated at least 24 hours in advance)
  • Force majeure events beyond Candar's reasonable control
  • Outages caused by third-party service providers (e.g., cloud infrastructure, DNS)
  • Issues resulting from client-side network or equipment failures

In the event of significant downtime exceeding the 99.9% target, Candar will provide affected clients with a service credit proportional to the duration of the outage, applied to the following billing period.

8. Payment Terms

  • Billing: Fees are invoiced monthly or annually as specified in your service agreement. The applicable pricing and billing frequency will be set forth in your order form or service agreement.
  • Payment Terms: All invoices are due net-30 from the date of invoice unless otherwise agreed in writing.
  • Late Payment: Overdue payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Candar reserves the right to suspend access to the Service for accounts with invoices overdue by more than 60 days.
  • Taxes: Fees are exclusive of taxes. You are responsible for any applicable sales, use, or other taxes, except for taxes based on Candar's net income.

9. Confidentiality

Each party agrees that all information disclosed by the other party that is designated as confidential, or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure (“Confidential Information”), shall be kept confidential.

  • Confidential Information may only be used for the purpose of fulfilling obligations under these Terms
  • Each party shall protect the other's Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care
  • Confidential Information may be disclosed to employees and contractors who need to know it and who are bound by confidentiality obligations at least as protective as these Terms
  • Confidentiality obligations do not apply to information that is publicly available, independently developed, or rightfully received from a third party without restriction

10. Liability Limitation

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Aggregate Liability Cap: Candar's total aggregate liability arising out of or related to these Terms or the Service shall not exceed the total fees paid by you to Candar during the twelve (12) months immediately preceding the event giving rise to the claim.
  • Exclusion of Damages: Neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, profits, data, or business opportunities, regardless of whether such damages were foreseeable.
  • Exceptions: The limitations in this section do not apply to breaches of confidentiality obligations, intellectual property infringement claims, or liability arising from gross negligence or willful misconduct.

11. Indemnification

By Candar: Candar shall indemnify, defend, and hold harmless you and your officers, directors, employees, and agents from any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from Candar's breach of these Terms, infringement of intellectual property rights, or gross negligence in providing the Service.

By You: You shall indemnify, defend, and hold harmless Candar and its officers, directors, employees, and agents from any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Service, or your violation of applicable laws or regulations.

12. Termination

  • Termination for Convenience: Either party may terminate these Terms with 30 days' written notice to the other party.
  • Termination for Cause: Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 15 days of receiving written notice.
  • Data Export: Upon termination, Candar will make your Client Data available for export in standard formats (CSV, JSON) for a period of 30 days.
  • Data Deletion: Following the 30-day export window, all Client Data will be permanently deleted from Candar's systems within 60 days of termination. A written certification of deletion will be provided upon request.
  • Survival: Sections relating to confidentiality, liability limitation, indemnification, and governing law shall survive termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms shall be resolved in the state or federal courts located in Santa Clara County, California, and each party consents to the exclusive jurisdiction of such courts.

14. WCAG Accessibility

Candar is committed to making the Service accessible to all users, including those with disabilities. We strive to conform to the Web Content Accessibility Guidelines (WCAG) 2.1 at the AA level.

Our accessibility efforts include:

  • Semantic HTML structure and proper heading hierarchy
  • Keyboard navigation support throughout the platform
  • Sufficient color contrast ratios for text and interactive elements
  • Descriptive labels and alt text for images and charts
  • Regular accessibility audits and remediation

15. Changes to Terms

Candar reserves the right to modify these Terms at any time. For material changes, we will provide at least 30 days' notice via email to the address associated with your account before the changes take effect.

Non-material changes (such as formatting or clarification updates) may be made at any time and will be reflected in the “Last Updated” date at the top of this page. Your continued use of the Service after any changes constitutes acceptance of the updated Terms.
